These Terms of Service ("Terms") govern your access to and use of Aizent's AI voice assistant platform, including our website, dashboard, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Real-time call monitoring, transcript review, usage analytics, and performance reporting
System Integrations
Direct EMR, POS, and database connectivity via our proprietary Direct DB Bridge
Call Management
Call logging, recording, transcription, and automated action execution

To access our Services, you must create an account. You agree to:

- Maintain and update your account information as needed
- Keep your password confidential and secure
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access

You retain ownership of your data. By using our Services, you grant us a license to process your data solely to provide the Services.
7. Disclaimers and Limitation of Liability
7.1 Service Disclaimer
The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
7.2 AI Accuracy Disclaimer
While our AI strives for high accuracy, voice recognition and natural language processing may produce errors. Aizent is not liable for decisions made based on AI-generated outputs. Healthcare providers should verify critical information independently.
7.3 Limitation of Liability
To the maximum extent permitted by law, Aizent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

These Terms remain in effect while you use our Services. Either party may terminate:

For material breach, non-payment, or if required by law, with reasonable notice
Upon termination, your right to use the Services ceases immediately. We will delete your data within 30 days unless retention is required by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Aizent and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.
10. Data Fiduciary & the DPDP Act, 2023
Aizent Private Limited is the Data Fiduciaryfor the personal and health data processed through the Services, as defined under the Digital Personal Data Protection Act, 2023 ("DPDP Act"). We process such data only on the basis of the caller's consent, which is obtained at the start of each call through a verbal notice that the call may be recorded and processed, and that continuing on the call implies consent.
- You (the organization customer) are responsible for ensuring you have a lawful basis and the right to share patient/caller data with us.
- We will not process personal data for purposes beyond those disclosed, and we honour withdrawal of consent and data-principal erasure requests under the DPDP Act.
- Data is processed and stored within India (GCP region asia-south1 / Mumbai) in line with the DPDP Act's storage and transfer requirements.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
